Please read these Terms carefully before using our Services. By creating an account, accessing, or using any part of the QuantaSeal platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to do so.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and QuantaSeal Pty Ltd ("QuantaSeal", "we", "us", or "our"), governing your access to and use of the QuantaSeal platform, APIs, SDKs, integrations, and associated services (collectively, the "Services").
These Terms are effective as of the Effective Date above. We may update these Terms from time to time; continued use of the Services constitutes acceptance of the updated Terms. Material changes will be communicated by email.
2. Description of Services
QuantaSeal provides a cloud-based platform for enterprise post-quantum cryptography, including but not limited to:
- Post-Quantum Encryption: Field-level and data-at-rest encryption using NIST FIPS 203 (ML-KEM-768) and NIST FIPS 204 (ML-DSA-65) algorithms.
- QuantaVault: A quantum-safe credential vault for storing and managing API keys, secrets, and credentials.
- Quantum-Safe API Proxy: Transparent TLS proxy for encrypting API traffic with PQC algorithms.
- Salesforce Integration: Managed package and connected-app integration enabling PQC services within Salesforce orgs.
- SDKs & APIs: Client libraries for Python, Node.js, and REST API access.
We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable notice. For paid subscribers, we will provide at least 30 days' notice of any material Service discontinuation.
3. Eligibility & Registration
To use the Services you must:
- Be at least 18 years of age and have legal capacity to enter into contracts.
- If registering on behalf of an organisation, have authority to bind that organisation to these Terms.
- Not be located in a country subject to applicable trade sanctions or embargoes (including OFAC, Australian DFAT sanctions).
You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at sales@quantaseal.io if you suspect unauthorised access to your account.
4. Subscriptions & Billing
4.1 Plans & Pricing
QuantaSeal is offered on the following subscription plans (pricing in AUD, excluding GST):

Prices are subject to change with 30 days' notice for existing subscribers. Annual plans are billed upfront. GST (10%) is added for customers in Australia.
4.2 Payment
Payments are processed securely by Stripe. By subscribing, you authorise QuantaSeal to charge the payment method on file on a recurring basis. You must keep your billing information accurate and up to date. We may suspend access if payment fails after two (2) failed charge attempts within 14 days.
4.3 Free Trial
We may offer a free trial period of up to 14 days. At the end of the trial, you will be charged the applicable plan rate unless you cancel before the trial ends. We will send a reminder before the trial expires.
4.4 Refunds
Monthly subscriptions are non-refundable except where required by the Australian Consumer Law (ACL) or other applicable law. Annual prepaid subscriptions may receive a pro-rata refund of unused months at our discretion. Enterprise contract refunds are governed by the applicable statement of work. 5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to store, transmit, or process any data that violates applicable laws, including data protected by privacy regulations you do not have authorisation to process.
- Attempt to reverse-engineer, decompile, disassemble, or extract the source code of the Services or our cryptographic implementations.
- Perform penetration testing, load testing, or security scanning of our infrastructure without prior written consent.
- Resell or sublicense the Services without a valid White Label or reseller agreement.
- Use the Services to facilitate or commit any fraudulent, illegal, or malicious activity.
- Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
- Use automated means to access the Services in a manner that exceeds reasonable use or violates our API rate limits.
- Circumvent, disable, or otherwise interfere with security features of the Services.
We reserve the right to suspend or terminate your access immediately if we reasonably believe you are in violation of this section.
6. Intellectual Property
6.1 Our IP
QuantaSeal and its licensors own all right, title, and interest in and to the Services, including all software, algorithms (subject to provisional patent applications), documentation, trademarks, and product names. Nothing in these Terms grants you any ownership rights in the Services. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely as permitted by these Terms.
6.2 Your IP & Feedback
You retain all intellectual property rights in Customer Data you submit to the Services. You grant QuantaSeal a limited licence to process Customer Data solely to provide the Services.
If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant QuantaSeal a perpetual, irrevocable, royalty-free licence to use such Feedback for any purpose without compensation or attribution to you.
6.3 Open Source
Certain components of the Services may use open-source software governed by separate licences. Such licences do not grant you any rights beyond accessing the Services as described herein.
7. Customer Data & Privacy
You are solely responsible for the accuracy, quality, legality, and content of Customer Data you submit to the Services. You represent and warrant that:
- You have obtained all necessary consents and have a valid legal basis to submit Customer Data to us for processing.
- Customer Data does not infringe any third-party rights or violate any applicable law.
- You have appropriate security measures governing access to and use of Customer Data within your own systems.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Customers who require a Data Processing Agreement (DPA) for GDPR or other regulatory compliance may request one from legal@quantaseal.io.
8. Confidentiality
Each party ("Receiving Party") may receive confidential information from the other party ("Disclosing Party") in connection with the Services. "Confidential Information" means any information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
The Receiving Party agrees to: (a) protect the Disclosing Party's Confidential Information using at least the same degree of care it uses for its own confidential information; (b) not disclose Confidential Information to third parties without prior written consent; and (c) use Confidential Information only to perform obligations or exercise rights under these Terms.
Confidentiality obligations do not apply to information that is publicly known, independently developed, or required to be disclosed by law or court order (provided reasonable prior notice is given to the Disclosing Party where legally permitted).
9. Warranties & Disclaimers
9.1 Our Warranties
QuantaSeal warrants that: (a) the Services will perform materially in accordance with our documentation; and (b) we will implement reasonable technical and organisational measures to protect Customer Data.
9.2 Disclaimer
Except as expressly stated above, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Nothing in this section limits any statutory consumer rights you may have under the Australian Consumer Law, including guarantees relating to acceptable quality and fitness for purpose for services supplied to consumers.
9.3 Service Availability
We target 99.9% monthly uptime for paid plans. Planned maintenance windows will be communicated in advance. Uptime credits may be available for enterprise customers as specified in their agreement. We are not responsible for downtime caused by factors outside our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by applicable law, QuantaSeal shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, use, or goodwill, even if advised of the possibility of such damages.
QuantaSeal's total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to QuantaSeal in the twelve (12) months immediately preceding the event giving rise to liability; or (b) AUD $500.
Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; liability that cannot be excluded or limited under the Australian Consumer Law or other applicable mandatory law.
11. Indemnification
You agree to indemnify, defend, and hold harmless QuantaSeal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) Customer Data you submit to the Services; (c) your violation of any applicable law or third-party right; or (d) your negligence or wilful misconduct.
QuantaSeal will provide prompt written notice of any claim for which indemnification is sought. You may not settle any claim that imposes obligations on QuantaSeal without our prior written consent.
12. Termination
12.1 By You
You may cancel your subscription at any time through your account dashboard or by contacting sales@quantaseal.io. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused time on monthly subscriptions.
12.2 By Us
We may suspend or terminate your access immediately if: (a) you breach these Terms; (b) required by law; (c) you fail to pay amounts due after notice; or (d) we reasonably believe continued access poses a security risk. We will give reasonable notice where practicable unless the breach is severe or illegal in nature.
12.3 Effect of Termination
Upon termination: (a) all licences granted to you immediately cease; (b) we will make your Customer Data available for export for 30 days following termination, after which it may be deleted; (c) amounts owing at termination remain due; (d) Sections 6, 7, 8, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of South Australia, Australia, without regard to conflict-of-law principles.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations for at least 30 days after written notice of the dispute is provided.
If a dispute cannot be resolved by negotiation, the parties agree to submit to the exclusive jurisdiction of the courts of South Australia, Australia, provided however that QuantaSeal may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any order forms or statements of work, constitute the entire agreement between you and QuantaSeal regarding the Services and supersede all prior agreements.
Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
Waiver
Failure by either party to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. QuantaSeal may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force Majeure
Neither party will be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, cyberattacks on third-party infrastructure, or labour disputes.
Notices
Notices to QuantaSeal must be sent to legal@quantaseal.io. Notices to you will be sent to the email address on your account.
Export Controls
Cryptographic software may be subject to export control laws. You are responsible for compliance with all applicable export and import regulations and agree not to export the Services in violation of such laws.
Australian Consumer Law
If you are a consumer under the Australian Consumer Law, you have statutory guarantees that cannot be excluded. These Terms do not limit those rights. For consumer-grade services, our liability for failure to comply with a consumer guarantee is limited to re-supplying the services or paying the cost of having the services re-supplied.
